Use case ยท Technical due diligence

Read the code, not the pitch.

Before you sign, know what the target's system really does, where the risk sits and what change will cost. Findings your deal team can put in the model.

When it's time to modernize, we build and deliver the new application, on the same map that carries into integration after close.

Why read the code

The deal window is short. The codebase took years.

01

Slides describe the plan. The code shows what was actually built, and how well.

02

Integration cost hides in the code.Tangled dependencies and dead code are cheaper to price before close.

03

Key-person risk is easy to miss. The code shows which parts only one or two people understand.

04

A full read fits the window. Our engine maps the whole codebase, and experts turn it into findings for the deal.

What a diligence needs from the code

Four questions, answered from the code itself.

Each finding is traced to the code it came from, so your advisors can check it.

1What does the system do?

  • Critical business flows, end to end
  • The rules that make the product: pricing, eligibility, billing
  • Interfaces with other systems, vendors and data stores

2Where does the risk sit?

  • Dead and duplicate code, and how much of the system it is
  • Tangled dependencies and single points of failure
  • Aging languages and frameworks that limit hiring and change

3What will change cost?

  • Size and complexity, measured rather than estimated
  • Modernization fit, module by module
  • Integration effort with your own stack

4Who holds the knowledge?

  • Areas only a few people understand, and how critical they are
  • Existing documents checked against what the code actually does
  • Sharp questions for management, backed by the code
How it runs

Sized to your diligence window.

01

Scope

A call with the deal team: which systems, which questions, which dates.

02

Access

Read-only access to the code under NDA, on-premise if needed. Code and schemas only.

03

Map

The whole codebase mapped, then reviewed by experts in the target's domain.

04

Findings

A report and a briefing for the deal team, with time for your questions.

What the deal team receives

Findings you can act on, with the evidence behind them.

Findings report

  • Plain-English summary for the deal team
  • Risks, ranked by severity
  • Cost-to-change view by module

Evidence

  • Every finding traced to code
  • Coverage report for the codebase
  • Flow and dependency maps

After close

  • We build the new application when you're ready
  • The map carries into integration
  • A head start on System Intelligence

Frequently asked questions

Is this a product the deal team installs?

No, it's a service. Our experts and our engine do the work, and the deal team receives findings, evidence and a briefing.

Do you need the target's cooperation?

Yes: read-only access to the code under NDA. We work from code and schemas, never production data, and we can run on-premise or air-gapped.

How is this different from a code review?

A code review samples. We map the whole codebase deterministically, with a coverage report, and our experts interpret what it means for the deal.

What happens after close?

When it's time to modernize, our Application Delivery team builds the new application on the same map. It also carries straight into integration and into System Intelligence.

Read the code before you sign.

30 minutes, deal-team friendly. We'll scope what the code can tell you before close.
